These Terms and Conditions, together with our Privacy Policy, Disclaimer, Community Guidelines, checkout disclosures, offering specific terms, private coaching agreements, retreat and event agreements, and any other document expressly incorporated by reference, are collectively referred to as the "Terms."
The Traveler Booking Terms included below form part of these Terms and apply to retreats, group trips, and travel experiences connected with Stoic Angels. They must be read together with the rest of this page and any trip-specific booking terms, waivers, releases, checkout disclosures, or third-party provider terms that apply to the relevant Trip.

These Terms form a legally binding agreement between you and Stoic Angels LLC ("Stoic Angels," the "Company," "we," "us," or "our").
Our Disclaimer contains additional important disclosures about the educational nature of our Content; professional, medical, mental-health, financial, tax, and legal information; health and activity risks; personal responsibility; results; testimonials; third party reviews; affiliate relationships; research related Content; and other limitations. The Disclaimer is incorporated into and forms part of these Terms.

PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE AN AGREEMENT TO RESOLVE MOST DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION, A WAIVER OF JURY AND CLASS-ACTION RIGHTS, DISCLAIMERS OF WARRANTIES, AN ASSUMPTION OF CERTAIN RISKS, AND LIMITATIONS OF LIABILITY. YOU MAY OPT OUT OF ARBITRATION WITHIN THIRTY DAYS AS EXPLAINED IN THE "ARBITRATION OPT-OUT" SECTION.

By creating an Account; completing a purchase; joining a Membership; affirmatively accepting these Terms; accessing restricted Content; or participating in an Offering, you acknowledge that you have read, understood, and agreed to these Terms, including the incorporated Disclaimer.
If you do not agree, do not create an Account, purchase an Offering, access restricted Content, or participate in our Services.

AGREEMENT AND SCOPE

Acceptance

These Terms apply to every User, Account Holder, Member, Customer, and Participant.
Your affirmative acceptance may occur through any meaningful interaction, including account registration; checkout; selection of an acceptance checkbox; enrollment in a Membership; acceptance of complimentary access; downloading or streaming gated Content; or participation in an Offering after receiving notice of these Terms.
Merely browsing a publicly available page does not, by itself, constitute acceptance of the arbitration agreement unless you have otherwise affirmatively accepted these Terms.

Platform

The "Platform" includes our website, membership platform, mobile or software applications, digital libraries, storefronts, payment pages, communities, communications, social media channels, and related online or in person services we operate or control.

Offerings

Our products and services, collectively referred to as "Offerings," include Memberships, modules, lessons, audio and video Content, guides, downloads, exercises, community access, group and private coaching, live sessions, workshops, retreats, trips, events, apparel, stationery, merchandise, complimentary or promotional access, and future products or services.

"Content" includes text, modules, methods, frameworks, exercises, recordings, audio, video, photographs, graphics, guides, downloads, worksheets, prompts, templates, Community materials, and other information or materials made available through our Platform or an Offering.

Incorporated Policies and Supplemental Terms

Our Privacy Policy, Disclaimer, Community Guidelines, applicable checkout disclosures, and offering specific policies are incorporated into these Terms. Certain Offerings may also be governed by additional agreements. Private coaching may require a separate coaching agreement. Retreats, trips, and in person events may be governed by separate booking, payment, cancellation, traveler, conduct, recording, assumption-of-risk, release, and participation terms. Physical products may be governed by separate shipping, return, preorder, or fulfillment policies. Where an incorporated policy or supplemental agreement directly conflicts with these Terms, the more specific provision controls solely with respect to the subject matter or Offering it governs. The general Disclaimer does not replace any separate waiver, release, informed consent, traveler agreement, or activity specific acknowledgment required for a particular Offering.

User Categories

A "User" is any person who visits, browses, or interacts with the Platform.
An "Account Holder" is a User who creates an Account or receives login credentials, whether or not a purchase has been made.
A "Member" is an Account Holder who purchases or receives access to a Membership.
A "Customer" is a person who purchases an Offering.
A "Participant" is a person who participates in coaching, a Community, live session, retreat, event, exercise, or another interactive Offering.
A person may fall within more than one category.

ELIGIBILITY, IDENTITY, AND ACCOUNTS

Eligibility

You must be at least eighteen years old and legally capable of entering into a binding agreement to create an Account, purchase an Offering, or participate in our Services, unless we expressly authorize otherwise through separate written terms.
You may not use the Platform where doing so would violate applicable law or where we have previously prohibited you from accessing the Platform.

Accurate Information

You represent that all information you provide is accurate, current, complete, and not misleading; that you are creating and using the Account for yourself; that you will not impersonate another person; that you are authorized to use any payment method you submit; and that your use of the Platform is lawful.
You agree to keep your Account, billing, and contact information reasonably current.
We may reasonably rely on the information you provide and are not responsible for denied access, missed communications, failed delivery, billing issues, security problems, or other losses caused by inaccurate, incomplete, fraudulent, misleading, or outdated information you supplied.

Identity and Eligibility Verification

We may request information reasonably necessary to verify identity, age, eligibility, payment authorization, suspected fraud, Account sharing, or compliance with these Terms.
Government-issued identification may be requested where reasonably necessary in accordance with our Privacy Policy and our legal obligations.
We may restrict or suspend access where identity or payment information cannot reasonably be verified or appears fraudulent, incomplete, misleading, or inconsistent.

Account Security

You are responsible for protecting your login credentials and for activity occurring through your Account.
You must promptly notify [email protected] if you suspect unauthorized access, disclosure of credentials, fraud, or another security issue.
We are not responsible for losses resulting from your failure to maintain Account security or promptly report suspected unauthorized use.

Personal Use and Account Sharing

Each Account and Membership is licensed to one individual only.
You may not share your Account, password, Content, access, or login credentials with another person, including a spouse, partner, family member, friend, colleague, client, team, organization, or business, unless a written agreement expressly authorizes multi-user access.
All Offerings are provided solely for personal, noncommercial use unless we expressly agree otherwise in writing.
You may not sell, resell, transfer, sublicense, rent, lend, assign, or commercially exploit an Account, Membership, Offering, or access right.
We may use reasonable methods to investigate suspected Account sharing or unauthorized access. A material violation may result in immediate restriction, suspension, or termination without refund.

MEMBERSHIPS, LICENSES, AND PURCHASES

Membership Plans

We may offer different Membership tiers with different Content, prices, features, benefits, support, discounts, Community access, live sessions, or other inclusions.
The material benefits included in a Membership are those described on the applicable sales page, checkout page, order form, or written offer at the time of purchase, subject to these Terms.

Pricing and Access Differences

Membership pricing, access, and benefits may differ based on the selected tier, enrollment date, promotional period, beta or early access participation, founding or grandfathered status, complimentary or gifted access, moderator or contributor arrangements, scholarships, negotiated agreements, or other legitimate factors we determine.

Different Members may therefore receive different prices, benefits, access periods, or privileges. No Member acquires a right to receive the same arrangement offered to another person.
Complimentary, gifted, promotional, beta, moderator, contributor, scholarship, or discretionary access may be granted, limited, changed, or withdrawn in accordance with the applicable offer or agreement.

Digital Content License and Access Restrictions

Unless expressly stated otherwise, digital Content is licensed rather than sold.
Subject to payment and continued compliance with these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use only the Content made available through your applicable Membership, purchase, or other authorized Offering, solely for lawful, personal, and noncommercial purposes.

Where an Offering provides streaming, viewing, listening, or in-platform access only, your license is limited to accessing that Content through the authorized Platform and during the applicable access period. You may not download, copy, record, screen-record, capture, extract, rip, scrape, reproduce, or attempt to obtain a permanent copy of any video, audio, lesson, module, livestream, protected text, digital guide, or other Content unless a download or copy function is expressly made available or we give prior written permission.

This restriction does not prohibit you from downloading a file that we intentionally provide as downloadable, such as an authorized PDF, worksheet, guide, template, audio file, or other digital resource. Any authorized download remains licensed only for your personal, noncommercial use and remains subject to all copyright, confidentiality, account-sharing, and redistribution restrictions in these Terms.

You may not, whether for payment or free of charge:

distribute, publish, upload, transmit, broadcast, display, perform, sell, resell, rent, lend, sublicense, license, gift, transfer, or otherwise make any Content or Offering available to another person;
share, sell, transfer, or provide access to an Account, password, login credential, access link, membership benefit, download link, or restricted Content;
reproduce, adapt, translate, modify, edit, remix, repurpose, summarize for resale, create derivative works from, or build another product, course, membership, coaching offer, publication, dataset, model, or commercial service using our Content, methods, frameworks, recordings, or materials;
use Content for teaching, training, consulting, coaching, group facilitation, client work, business operations, artificial-intelligence training, machine-learning datasets, commercial research, or any revenue-generating activity without prior written authorization;
bypass, disable, defeat, interfere with, or attempt to circumvent access controls, paywalls, streaming restrictions, digital-rights-management technology, download limitations, expiration settings, security features, or technical protections; or
remove, conceal, crop out, alter, obscure, disable, or attempt to remove any copyright notice, trademark, attribution, identifier, metadata, embedded notice, digital fingerprint, or watermark.

Any file, recording, guide, download, credential, or other access provided to you is provided in good faith on the condition that you respect our intellectual-property rights and use it only within the scope of the license granted. Purchasing, subscribing to, receiving, streaming, viewing, listening to, or downloading Content does not transfer ownership, copyright, authorship, trademark rights, trade-secret rights, or any other proprietary interest in the Platform, Offerings, Content, modules, methods, recordings, or materials.
Unauthorized access, attempted downloading, copying, recording, redistribution, account sharing, resale, derivative use, watermark removal, or commercial exploitation constitutes a material breach of these Terms and may result in immediate suspension or termination without refund, revocation of access, preservation of relevant evidence, takedown requests, recovery of losses and enforcement costs where legally recoverable, and other lawful remedies.

Membership Access

Membership access depends on the selected tier, active subscription status, successful payment, Account standing, compliance with these Terms, and continued availability of the applicable Content or feature.

When a Membership expires, ends, is canceled, or is terminated, access to Membership-only modules, streamed Content, Communities, live sessions, coaching privileges, discounts, bonuses, and other Membership benefits may end.

Cancellation does not convert subscription Content into a permanent purchase.

Standalone Digital Purchases

We may sell modules, guides, downloads, recordings, or other digital Offerings separately from a Membership.
Where a standalone Offering is expressly sold with continuing access, you receive a continuing personal license for as long as we reasonably maintain the Offering or provide a reasonable alternative method of delivery.

Continuing access does not require us to maintain a particular website, application, platform, provider, file format, hosting arrangement, or technical system indefinitely.
Downloadable materials lawfully purchased separately may generally be retained for personal use, subject to all intellectual-property restrictions.
A standalone purchase does not include future updates, Membership access, coaching, live sessions, Community access, or other Offerings unless expressly stated.

Physical Products

Ownership of authorized physical products, including apparel, stationery, and merchandise, transfers according to the applicable sale, shipping, and delivery terms.
Ownership of a physical item does not transfer ownership of any associated logo, artwork, branding, design, photograph, written material, packaging, or other intellectual property.

Physical products may be subject to separate shipping, return, exchange, preorder, fulfillment, or third party retailer policies.

Orders and Availability

The display of an Offering is an invitation to submit an order and does not guarantee acceptance or availability.
We may refuse, cancel, correct, or limit an order where an Offering is unavailable, information or pricing is incorrect, fraud or unauthorized activity is suspected, technical errors occur, or the order violates these Terms.

If we cancel an accepted order before delivery, we will provide any refund required by the applicable purchase terms.

PAYMENTS, RENEWALS, CANCELLATIONS, AND REFUNDS

Payment Authorization

By submitting an order, you authorize us and our payment processors to charge your selected payment method for the purchase price, recurring charges, applicable taxes, installment payments, shipping charges, and any other amount clearly disclosed and authorized at checkout.

You represent that you are authorized to use the payment method and that the billing information you provide is accurate and complete.

We may provide information reasonably necessary to process your payment to our payment providers in accordance with our Privacy Policy.

Taxes and Charges

Prices may exclude sales tax, use tax, value-added tax, customs duties, shipping fees, or other governmental charges unless expressly stated otherwise.
You are responsible for taxes or charges legally associated with your purchase. We may calculate and collect taxes where we reasonably believe collection is required.

Subscription Billing

Memberships may be offered on monthly, quarterly, annual, or other disclosed recurring billing cycles.
By purchasing an automatically renewing Membership, you authorize us and our payment providers to charge the payment method on file at the beginning of each billing period until the subscription is canceled, terminated, expires, or ends because of payment failure.

The applicable price, billing interval, renewal terms, trial terms, and cancellation method will be disclosed at or before checkout.

Automatic Renewal

Recurring charges will continue until cancellation or another event ending the subscription.

You are responsible for canceling before the next renewal charge is processed.

We may send billing, renewal, trial ending, and cancellation communications electronically through email, Account notices, payment provider notices, or Platform notifications.

Where applicable, we will provide legally required renewal disclosures and advance notices. Florida law requires clear and conspicuous disclosure of covered automatic-renewal provisions and may require advance notice for certain contracts lasting twelve months or longer.

Promotions and Price Changes

We may offer introductory pricing, trials, beta pricing, founding member pricing, coupons, annual discounts, promotional periods, complimentary access, or grandfathered rates.

Unless expressly guaranteed in writing, promotional, discounted, or introductory pricing does not create a permanent right to that rate.

We may change prices for future purchases and future billing periods. Existing Members will receive notice where required or where we reasonably determine the change is material.

A Member who cancels, allows a subscription to lapse, or loses access because of failed payment has no guaranteed right to return at a previous price.

Failed Payments and Chargebacks

You are responsible for maintaining a valid payment method.

If a payment fails, is declined, blocked, reversed, disputed, or otherwise not completed, we may retry the charge; request another payment method; restrict access; suspend or terminate the Membership; or recover amounts lawfully owed.

You agree to contact [email protected] and make a reasonable effort to resolve a billing concern before initiating a chargeback.

Nothing in this section prevents you from exercising a lawful payment-dispute right. Fraudulent or abusive chargebacks may result in Account suspension, termination, collection activity, or other lawful remedies.

Cancellation

You can cancel an automatically renewing Membership through the cancellation method provided through the Account, Platform, checkout system, or payment provider.
Cancellation stops future renewal charges after it becomes effective. It does not reverse charges already processed.

Unless otherwise stated, Membership access generally continues through the end of the paid billing period and is then revoked.
Cancellation does not cancel a separate coaching agreement, retreat booking, installment obligation, standalone purchase, or physical-product order unless the applicable terms expressly provide otherwise.

Refund Policy

Because digital access is generally delivered promptly and certain Offerings require advance allocation of time, capacity, preparation, staffing, or third party commitments, purchases are generally nonrefundable.

Except where expressly stated in offering specific terms or approved by us in writing, Membership payments, renewal charges, digital Offerings, modules, downloads, coaching fees, workshop fees, event charges, deposits, and installment payments are not refundable merely because you did not access, use, attend, complete, or achieve a desired result from the Offering.

Digital Content is considered delivered when Account access, streaming access, credentials, a download link, or another reasonable delivery method has been provided.
We may issue a refund in instances where an Offering is rejected before acceptance; where we cancel an accepted Offering without providing a reasonable substitute; where a specific written policy requires one; or where we elect to approve one. A discretionary refund in one situation does not create an obligation in another.

PLATFORM CHANGES AND THIRD-PARTY SERVICES

Platform Evolution

Stoic Angels is an evolving educational platform.
We may add, remove, modify, replace, reorganize, redesign, rename, relocate, combine, archive, suspend, or discontinue portions of the Platform or an Offering, including Membership tiers, modules, Content, libraries, benefits, instructors, schedules, delivery methods, branding, Community features, providers, and technology.
No User acquires a permanent right to access a particular module, instructor, feature, bonus, library arrangement, Community function, schedule, delivery method, or technical platform, except in the case of on demand Content that expressly allows lifetime access.
Where a change materially deprives you of the substance of a specific paid Offering, we may provide a reasonable substitute, alternative delivery method, extension, credit, or other appropriate accommodation.

Notice of Changes

We may update these Terms from time to time. The current version will always be posted on this page with an updated effective date or last updated date.
Routine, technical, editorial, organizational, or catalog changes may be made by updating this page without a separate email.
We may provide additional notice of changes through email, an Account notice, a Platform notice, checkout disclosure, or another reasonable method when we consider it appropriate or when required by law. We may also ask you to accept updated Terms where appropriate.

Unless otherwise stated or required by law, updated Terms take effect on the date shown on this page and apply from that date forward.
Routine changes to module order, branding, technology, formatting, schedules, catalog organization, or the availability of individual Content items do not ordinarily create a right to a refund.

Platform Availability

We will make reasonable efforts to maintain access but do not guarantee uninterrupted, error free, secure, or continuous availability.
Access may be interrupted by maintenance, updates, migrations, software errors, hosting failures, communications failures, internet outages, payment processors, cybersecurity incidents, third party integrations, or other circumstances.

Where paid Content is materially inaccessible because of a verified issue on our end, we may provide restored access, extended access, a replacement file, an alternative delivery method, or another reasonable solution.

Third-Party Products, Services, and Materials

The Platform may contain, promote, link to, or rely upon products, services, Content, applications, software, payment processors, hosting providers, scheduling tools, social media networks, delivery companies, retailers, or materials supplied by third parties.
We do not control, warrant, endorse, or assume responsibility for a third party's independent availability, accuracy, security, conduct, products, services, policies, data practices, representations, transactions, acts, or omissions.

Your dealings with a third party are between you and that third party and may be governed by separate terms and privacy policies.

Social-Media Platforms

Accessing our Content or channels through Instagram, Facebook, YouTube, X, Pinterest, TikTok, or another social media platform is also subject to the applicable platform's terms, rules, and policies.
We do not control those platforms and are not responsible for their availability, moderation, restrictions, security, data practices, Content removal, account actions, or other conduct.

A social media platform's terms govern your relationship with that platform and do not replace these Terms with respect to your relationship with us.

International Access

The Platform is operated from the United States.
If you access or purchase from another jurisdiction, you are responsible for determining whether your access, purchase, participation, importation, receipt, and use comply with applicable local law.

We do not represent that every Offering is lawful, appropriate, available, or suitable in every jurisdiction.

EDUCATIONAL, PROFESSIONAL, AND HEALTHCARE DISCLAIMERS

Educational Nature of Our Offerings

Our Platform and Offerings are provided for educational, informational, entertainment, life-coaching, personal-development, and general-wellbeing purposes.
Content may address topics such as identity, confidence, habits, relationships, boundaries, appearance, productivity, motivation, embodiment, philosophy, spirituality, manifestation, psychology-related concepts, neuroscience-related concepts, nervous-system concepts, somatic education, and general wellbeing.
Our Content is general in nature and is not created from a complete evaluation of your personal circumstances.

Professional Experience of Our Team

Our facilitators, representatives, instructors, contributors, or contractors may possess professional education, certifications, training, experience, or expertise within their respective fields.

Their professional backgrounds do not mean they are acting as your individual licensed provider. Information made available through a general membership, module, Community, recording, article, live session, or other educational Offering is not individualized professional advice.

No Professional-Client Relationship

Your use of the Platform or purchase of an Offering does not create a physician-patient, therapist-client, psychologist-client, psychiatrist-patient, counselor-client, dietitian-client, attorney-client, accountant-client, tax-adviser-client, financial-adviser-client, fiduciary, employment, partnership, joint-venture, agency, or other licensed professional relationship.

Our obligations are limited to those expressly stated in these Terms and any applicable supplemental agreement.

No Professional Advice

Nothing available through our Platform constitutes medical, mental-health, psychological, psychiatric, therapeutic, counseling, nutritional, dietetic, financial, investment, accounting, tax, legal, or other regulated professional advice, diagnosis, treatment, rehabilitation, or emergency care.

We make reasonable efforts to provide information we believe is useful and accurate. However, nothing available through our Platform should be interpreted as a recommendation to disregard, avoid, replace, or delay advice from a qualified professional familiar with your individual circumstances.
You should obtain appropriate individualized guidance before making decisions that may materially affect your health, mental health, finances, legal rights, taxes, safety, or wellbeing.

Healthcare and Wellness Acknowledgment

Our Offerings may discuss or include somatic education, meditation, visualization, journaling, breath-based exercises, movement, posture, relaxation, body awareness, nervous-system concepts, reflective activities, routines, challenges, workshops, or other experiential practices.

These practices are non-medical and are not intended to diagnose, treat, cure, prevent, or manage a medical, psychiatric, psychological, or mental-health condition.
Our Offerings are not a substitute for appropriate healthcare or other professional care and, where relevant, should be used only alongside guidance from qualified providers who can evaluate your circumstances.

Health and Participation Risks

Participation in an activity, routine, exercise, practice, workshop, retreat, trip, event, or program may involve risks, including physical injury, emotional discomfort or distress, aggravation of an existing condition, panic, illness, disability, property damage or loss, serious injury, or in rare circumstances, death.
You are responsible for evaluating your physical and mental health, medical history, medications, pregnancy status, injuries, limitations, environment, equipment, and ability to participate.

By voluntarily participating, you acknowledge and assume the risks ordinarily associated with the activity you choose to undertake.
Stop participating and seek appropriate assistance if you experience pain, faintness, breathing difficulty, panic, severe distress, injury, or another concerning symptom.
Higher-risk Offerings may require a separate acknowledgment, waiver, or release.

Professional Care and Emergencies

Never disregard qualified medical or other professional advice or delay seeking it because of Content available through our Platform.
If you believe you may be experiencing a medical, psychiatric, psychological, or other emergency, contact emergency services or an appropriate crisis provider immediately. We are not an emergency service and do not monitor the Platform for emergencies.

Personal Responsibility

You remain responsible for your decisions, actions, participation, health, relationships, career, business, finances, property, and results.
You agree to exercise reasonable judgment, conduct your own research and due diligence, consider your individual circumstances, and seek appropriate professional assistance before making significant decisions.
Your decision to use or not use any information, suggestion, practice, or recommendation is voluntary and undertaken at your own discretion.

No Guarantees

We do not guarantee any personal, professional, financial, physical, emotional, relational, educational, spiritual, appearance-related, productivity-related, health-related, business-related, or general-wellbeing result.
Results depend on individual circumstances, effort, participation, implementation, consistency, health, background, decisions, resources, environment, and factors outside our knowledge or control.

Prior results, testimonials, examples, success stories, and before-and-after materials do not guarantee that you will receive the same or similar outcome.
Manifestation, Spirituality, and Subjective Concepts
Some Offerings may discuss manifestation, visualization, consciousness, intuition, identity, embodiment, energy, spirituality, philosophy, personal belief, or related concepts.

These subjects may involve subjective experiences, personal or spiritual beliefs, philosophical perspectives, emerging theories, experiential practices, or original educational frameworks we have developed or interpreted.
They are not presented as established scientific fact, medical or mental-health treatment, legal or financial advice, or a guarantee that a particular event, result, relationship, opportunity, financial outcome, or life circumstance will occur.

Scientific and Research-Related Content

Some Content may draw from, interpret, or discuss concepts associated with psychology, neuroscience, behavior, somatic education, nervous-system functioning, health, philosophy, or general wellbeing.

Content may include a combination of research-informed concepts, educational interpretation, professional experience, original coaching frameworks, subjective practices, and emerging or debated ideas.

Our Content is not presented as peer-reviewed scholarship, clinical guidance, a systematic review of available evidence, or a complete statement of scientific consensus.
Research, terminology, professional standards, and accepted practices may change. We may update Content but do not guarantee that every module, recording, post, guide, or archived item will immediately reflect the most recent research or professional guidance.

Additional Disclaimer

The provisions above summarize the principal limitations applicable to our Offerings.
Additional disclosures about professional information, health and wellness, personal responsibility, manifestation and spiritual subjects, scientific Content, testimonials, reviews, affiliate relationships, external resources, and use of the Platform appear in our separate Disclaimer, which is incorporated into these Terms.

COMMUNITY, USER CONTENT, REVIEWS, AND RECORDINGS

Community Guidelines

Community areas may be governed by separate Community Guidelines incorporated into these Terms.
You must interact lawfully and in a manner consistent with the safety, privacy, dignity, integrity, and educational purpose of the Community.

Prohibited Conduct

You may not engage in, encourage, or facilitate conduct involving threats, targeted harassment, bullying, stalking, hate speech, discrimination, doxxing, impersonation, fraud, unlawful conduct, spam, unauthorized advertising, solicitation, collection of Member information, disclosure of private communications, infringement, dangerous conduct, malware, unauthorized access, Account sharing, circumvention of moderation, or material disruption of the Platform or Community.
You may not use the Platform to violate another person's intellectual-property, privacy, publicity, contractual, or other legal rights.

Moderation and Safety

We may monitor, moderate, restrict, edit, archive, remove, preserve, or disable access to posts, comments, profiles, media, User Content, Community spaces, or Accounts where reasonably necessary to administer the Community; investigate misconduct; protect Users; preserve evidence; enforce these Terms; or address safety, security, or legal concerns.

We may warn, restrict, suspend, or remove a User without advance notice where reasonably necessary.
Removal for a material violation does not ordinarily entitle you to a refund.

We may consider off-Platform conduct where it has a direct and material relationship to Community safety, harassment of Members or our team, threats, infringement, fraud, misuse of confidential information, or coordinated disruption of an Offering.

Questions and Concerns

We welcome good-faith questions, concerns, and feedback.
You may contact [email protected] regarding billing, access, Member conduct, alleged infringement, technical concerns, or other matters so we have a reasonable opportunity to investigate and, where appropriate, offer a resolution.

Honest Reviews and Protected Communications

Nothing in these Terms prohibits, restricts, or penalizes an honest consumer review, a truthful statement, a genuinely held opinion, a lawful complaint to a regulator, a report to law enforcement, participation in a legal proceeding, or another communication protected by law.

Unlawful Statements and Conduct

You may not knowingly publish or distribute false statements of fact, fraudulent representations, unlawful threats, targeted harassment, doxxing, impersonation, infringing Content, or defamatory or otherwise unlawful material about us, our team, our Members, our Offerings, or our operations.
We reserve our rights and remedies regarding conduct that is knowingly false, fraudulent, threatening, harassing, infringing, defamatory, or otherwise unlawful.

User Content

"User Content" includes posts, comments, photographs, videos, audio, profile information, assignments, homework, messages, questions, feedback, suggestions, testimonials, success stories, and before-and-after materials submitted to us or the Platform.

You retain the intellectual-property rights you lawfully hold in your original User Content.

You represent that you own or have obtained the rights, permissions, licenses, and consents necessary to submit your User Content and authorize the uses permitted by these Terms.

You further represent that your User Content and our authorized use will not infringe another person's copyright, trademark, privacy, publicity, contractual, or other rights.

Operational User Content License

By submitting User Content to the Platform, you grant us a worldwide, non-exclusive, royalty-free, fully paid, transferable, and sublicensable license to host, store, reproduce, format, display, transmit, distribute, moderate, archive, and otherwise use that User Content as reasonably necessary to operate, administer, secure, document, and improve our Platform and Offerings.

This operational license does not automatically authorize us to use private Community Content in advertising merely because it was posted to the Platform.
The license may continue after Account termination where reasonably necessary for archived discussions, technical operations, recordkeeping, legal compliance, dispute resolution, or protection of legal rights.

Product Feedback

If you voluntarily submit ideas, recommendations, concepts, suggestions, or other feedback about the development or improvement of our Platform or Offerings, we may use that feedback without restriction, additional notice, attribution, or compensation.
You represent that you have the right to provide the feedback.

Product feedback does not include a consumer review, private Community disclosure, photograph, testimonial, or personal story unless you separately authorize the relevant use.

Promotional Permission

Where you voluntarily submit material for testimonial, publication, promotional, or marketing use, or separately authorize such use, you grant us a worldwide, royalty-free, transferable, and sublicensable license to reproduce, edit, format, publish, display, distribute, advertise, and use the material and your authorized name, username, image, voice, likeness, and biographical information for those purposes.

After valid promotional consent has been provided, we are not required to give additional notice or compensation for each authorized use.
Requests to restrict future promotional use must be sent to [email protected] and identify the relevant material. We will make reasonable efforts to honor prospective requests but may retain lawful archival, evidentiary, or previously produced materials.

Testimonials and Customer Experiences

Testimonials we display are intended to reflect genuine statements and experiences voluntarily provided by Customers, Members, Participants, or audience members.
We may correct grammar, shorten, excerpt, caption, arrange, or format testimonial material for clarity, presentation, or length, provided that we do not materially alter or misrepresent the substance of the person's statement or experience.

Testimonials reflect individual experiences. Results vary and are not necessarily typical, representative, or guaranteed.
Our collection, editing, publication, and use of testimonials are also governed by the Disclaimer.

Reviews, Recommendations, and Affiliate Relationships

We may publish reviews, recommendations, references, or educational discussions about third party products, services, books, applications, platforms, travel providers, wellness resources, professionals, or other materials.

These statements reflect the author's good-faith opinion at the time of publication and do not guarantee the quality, safety, legality, suitability, effectiveness, or continued availability of the subject reviewed.

We, the author, or our representative may receive products without charge, discounts, affiliate compensation, commissions, sponsorship fees, complimentary services, travel benefits, or another material benefit associated with a review or recommendation.

Material connections will be disclosed clearly and conspicuously with or near the applicable endorsement, review, recommendation, or affiliate link.

You retain any intellectual-property rights you lawfully hold in your consumer reviews. Submitting a review does not automatically transfer ownership of the review to us.
We may prohibit or address Content that contains confidential or private information, infringes another person's rights, is harassing, abusive, threatening, obscene, clearly false or misleading, or is otherwise unlawful.

Live Sessions and Recordings

Live coaching calls, Community discussions, workshops, webinars, interviews, and other live Offerings may be recorded, transcribed, summarized, edited, archived, excerpted, or republished after reasonable notice.

Participation after notice constitutes consent to incidental capture of your name, username, voice, image, likeness, messages, questions, and contributions, subject to the stated purpose and available privacy options.

If you do not wish to be visibly or audibly captured, please use available privacy options or contact us before participating.
Private coaching sessions will be recorded only as permitted by the applicable coaching agreement, advance notice, and legally required consent.

INTELLECTUAL PROPERTY AND ARTIFICIAL INTELLIGENCE

Ownership

Our Platform, Offerings, Content, modules, methods, frameworks, techniques, exercises, prompts, guides, recordings, text, audio, video, photographs, designs, branding, logos, graphics, Community materials, compilations, and other intellectual property are owned by or licensed to Stoic Angels LLC, Mae Alice Suzuki, or the applicable rights holder.

All rights not expressly granted are reserved.

Limited License

Purchasing or receiving access grants only the limited license described in these Terms.

It does not transfer ownership, copyright, authorship, trademark rights, trade-secret rights, or another proprietary interest.

Prohibited Uses

Without our prior express written permission, you may not copy, reproduce, publish, distribute, transmit, upload, record, photograph, transcribe, translate, scrape, download, archive, mirror, embed, sell, resell, sublicense, modify, reverse engineer, create derivative works from, commercially exploit, or otherwise misuse Content, in whole or in substantial part.

You may not share restricted Content or Account credentials; remove proprietary notices; sell or distribute notes, summaries, guides, or transcripts based substantially on the Content; plagiarize Content; create substantially similar competing modules, memberships, methodologies, certifications, or Offerings; use Content for unauthorized teaching or commercial training; or represent our materials as your own.

Limited personal notes made solely for private, noncommercial use are permitted, provided they are not published, sold, distributed, or used to create a competing Offering.

Confidential and Community Materials

You agree to respect the privacy of other Members and Participants.
You may not disclose another person's private Community information, personal story, identifying information, photograph, message, recording, or contribution outside the Platform without that person's permission.

Access to Community discussions does not make those discussions public or authorize their commercial or external use.

Copyright and Infringing Content

You may not post, submit, upload, distribute, or make available material that infringes our or another person's copyright, trademark, privacy, publicity, or other legal rights.

We may remove, restrict, disable access to, preserve evidence concerning, or report material we reasonably believe infringes intellectual-property rights.
We may suspend or terminate repeat infringers and may pursue remedies available under law.

Artificial Intelligence Restrictions

Without our prior express written permission, you may not upload substantial Content to an artificial-intelligence system; use Content to train, test, evaluate, benchmark, fine-tune, or improve a model; create an AI assistant, chatbot, agent, automated coach, custom model, knowledge base, embedding database, retrieval system, or synthetic instructor from the Content; or generate derivative commercial Offerings using the Content.

You may not use artificial intelligence or automated systems to imitate, reproduce, or commercially exploit our voice, likeness, organization, methods, instructional style, proprietary frameworks, or commercial value.

Incidental personal use of generally available tools for private administrative purposes is permitted only where no substantial Content is stored, distributed, commercialized, or used to create a substitute or competing Offering.

Enforcement

Suspected infringement, prohibited AI use, Account sharing, unauthorized distribution, or commercial exploitation may result in investigation, preservation of evidence, suspension, termination without refund, injunctive relief, monetary damages, and other remedies.

Nothing in these Terms guarantees that a particular remedy will be awarded.

WARRANTIES, RISK ALLOCATION, AND LIABILITY

Use and Participation at Your Own Risk

Your access to and use of our Platform, Content, Offerings, downloads, activities, practices, recommendations, reviews, affiliate resources, and third party materials are undertaken voluntarily and at your own discretion and risk.

You remain responsible for deciding whether any Content, activity, Offering, product, service, recommendation, or decision is suitable for your circumstances.

This provision does not require you to assume a risk created solely by conduct for which responsibility cannot legally be disclaimed or transferred.
Further risk disclosures appear in the Disclaimer and in any offering specific acknowledgment, waiver, or release.

Disclaimer of Warranties

THE PLATFORM, CONTENT, OFFERINGS, SERVICES, REVIEWS, RECOMMENDATIONS, AND THIRD-PARTY RESOURCES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

We do not warrant that they will be complete, accurate, current, reliable, secure, uninterrupted, error free, free of harmful components, compatible with every device, appropriate for every User, or capable of producing a particular result.

To the extent warranties may legally be disclaimed, we disclaim all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, and availability.

Any file or material you access or download is obtained at your own discretion and risk. You are responsible for maintaining suitable device security, software, internet access, and backups.

The Disclaimer contains additional explanations regarding the accuracy, use, and limitations of Content and is incorporated into this provision.

Outages and Force Majeure

We are not responsible for delay, interruption, cancellation, unavailability, or failure caused by maintenance, updates, migrations, software errors, internet or utility failure, telecommunications failures, hosting services, payment processors, third party platforms, cyber incidents, natural disasters, severe weather, fire, flood, earthquake, public-health emergencies, government action, war, terrorism, civil unrest, transportation disruption, labor disputes, supply shortages, venue closures, illness, incapacity, or other circumstances beyond our reasonable control.

Our obligations will be suspended for the duration of the affected condition to the extent performance is prevented or materially delayed.
Offering-specific agreements may provide additional force majeure, rescheduling, substitution, credit, or cancellation terms.

Third-Party Conduct

We are not responsible for the independent conduct, statements, products, services, omissions, unlawful activity, or offensive behavior of a third party, including other Users, vendors, advertisers, providers, social media platforms, travel operators, or linked websites.

You voluntarily assume the ordinary risks associated with choosing to interact or transact with third parties.

Limited Release

You release the Company Parties from claims arising solely from risks you knowingly and voluntarily assume through your use of the Platform or participation in voluntary activities.

This general release does not replace any activity specific waiver or release required for retreats, travel, physical activities, or other higher-risk Offerings.

No Consequential Damages

THE COMPANY PARTIES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, DATA, USE, GOODWILL, OPPORTUNITY, OR ANTICIPATED BENEFITS; OR PERSONAL OR BUSINESS INTERRUPTION ARISING FROM OR RELATING TO THE PLATFORM, CONTENT, OFFERINGS, OR SERVICES, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

"Company Parties" means Stoic Angels LLC, Mae Alice Suzuki, and their affiliates, owners, officers, employees, contractors, facilitators, contributors, licensors, service providers, successors, and assigns.

Liability Cap

The aggregate liability of the Company Parties arising from or relating to a particular Offering will not exceed the amount actually paid by you directly to us for that Offering during the twelve months preceding the event giving rise to the claim.

Where a claim does not relate to a paid Offering, the aggregate liability of the Company Parties will not exceed one hundred dollars ($100).

Indemnification

You agree to indemnify, defend, and hold harmless the Company Parties from third party claims, damages, liabilities, judgments, settlements, and reasonable legal costs arising from your unlawful conduct, material breach of these Terms, infringement or violation of another person's rights, User Content submitted by you, unauthorized distribution or use of Content, fraud, or willful misconduct.

We may control the defense of a covered claim using counsel of our choosing.

You may not settle a covered claim in a manner that admits wrongdoing by, imposes liability upon, or creates an obligation for a Company Party without our written consent.

Relationship Between These Protections and the Disclaimer

The acknowledgments, assumptions of risk, warranty disclaimers, releases, liability limitations, and personal-responsibility provisions contained in these Terms are contractual provisions.

The separate Disclaimer provides additional context and disclosures but does not narrow, replace, or supersede the protections in this section unless it expressly states otherwise.

Where the Disclaimer and these Terms address the same subject, they should be interpreted consistently and together. If a direct conflict cannot reasonably be reconciled, these Terms will control unless an offering specific agreement states otherwise.

DISPUTES AND GENERAL TERMS

Informal Resolution

Before starting arbitration or litigation, the claimant must send written notice describing the dispute, the relevant Account, transaction, or Offering, the factual basis of the claim, and the requested relief.

Notice to us must be sent to [email protected] and the legal-notice address in the "Electronic Communications and Notices" section below.
The parties will attempt in good faith to resolve the matter for sixty days after receipt of sufficiently detailed notice.

This requirement does not prevent either party from seeking urgent provisional relief where delay would create immediate or irreparable harm.

Binding Individual Arbitration

Except for excluded claims described below, any dispute, claim, or controversy arising from or relating to these Terms, the Platform, an Account, an Offering, a purchase, Content, communications with us, or the relationship between us will be resolved through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules and Mediation Procedures then in effect.

The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.

The arbitrator, rather than a court, will have authority to resolve disputes concerning the interpretation, scope, applicability, or enforceability of this arbitration agreement, except that a court may determine disputes concerning the validity or enforceability of the class action waiver.

The arbitrator may award any individual relief available under applicable law but may award relief only to the individual party seeking it and only to the extent necessary to resolve that party's claim.

Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Arbitration Procedure and Location

Arbitration may be conducted through documents, telephone, video conference, or another remote method unless the arbitrator determines that an in person hearing is necessary or appropriate.

Any in person hearing will take place in Miami-Dade County, Florida, unless the parties agree otherwise.

AAA rules and the applicable fee schedule will govern filing, administration, and arbitrator fees.

Exceptions to Arbitration

Either party may bring an eligible individual claim in small-claims court, provided the claim remains within that court's jurisdiction and proceeds only on an individual basis.

We may seek temporary, preliminary, provisional, equitable, or injunctive relief from a court of competent jurisdiction to prevent or address actual or threatened infringement, unauthorized access, Account misuse, prohibited AI use, disclosure of confidential or proprietary information, cybersecurity threats, fraud, or other conduct threatening our intellectual property, systems, or property.

Either party may seek judicial enforcement of an arbitration award.

Jury and Class-Action Waiver

TO THE EXTENT A DISPUTE IS SUBJECT TO ARBITRATION, EACH PARTY WAIVES THE RIGHT TO A JURY TRIAL.

CLAIMS MUST BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE IN A CLASS, COLLECTIVE, CONSOLIDATED, COORDINATED, MASS, OR REPRESENTATIVE PROCEEDING.

The arbitrator may not consolidate claims or conduct a class or representative arbitration without the written agreement of all affected parties.

Arbitration Opt-Out

You may reject the arbitration agreement by emailing an opt-out notice to [email protected] no later than thirty days after the date you first affirmatively accept these Terms.

Your notice must include your full name, the email address associated with your Account or purchase, and a clear statement that you wish to opt out of the Stoic Angels arbitration agreement.

No government-issued identification is required unless we reasonably need additional information to verify a disputed or potentially fraudulent request.

Opting out of arbitration does not affect the remaining provisions of these Terms and does not cancel an Account, Membership, or purchase.

An opt-out applies only to the individual who timely submits it.

Future Changes to Arbitration Terms

A material amendment to the arbitration agreement will not apply to a claim already filed in arbitration or court before the amendment's effective date.

Where we materially change the arbitration provision, Users who previously accepted arbitration may reject the amended arbitration terms by following the opt-out process provided with the amendment within thirty days after receiving notice.

Rejection of an amendment does not alter any valid arbitration agreement previously applicable to an existing dispute.

Equitable Relief

You acknowledge that actual or threatened infringement, unauthorized distribution, prohibited artificial-intelligence use, disclosure of confidential or proprietary information, or misuse of our intellectual property may cause irreparable harm for which monetary damages may be inadequate.

Without waiving any other remedy or the obligation to arbitrate the underlying dispute, we may request temporary, preliminary, provisional, equitable, or injunctive relief from a court of competent jurisdiction to protect our rights and property pending arbitration or final resolution.

Court Proceedings and Venue

If a claim is not subject to arbitration, has been properly opted out of arbitration, concerns an eligible small-claims matter, or involves enforcement of an arbitration award, the parties consent to the personal jurisdiction and venue of the state and federal courts serving Miami-Dade County, Florida.

Each party waives any objection based on inconvenient forum to the extent such objection may validly be waived.

The parties cannot create subject-matter jurisdiction by agreement. Any court proceeding must be brought in a court that otherwise has legal authority to hear the matter.

Governing Law

These Terms and disputes arising from them are governed by the Federal Arbitration Act where arbitration applies and otherwise by the laws of the State of Florida, without regard to conflict-of-law principles.

Users Outside Florida or the United States

If you are located outside Florida or outside the United States, you remain responsible for compliance with laws applicable to your access, purchases, participation, and conduct.

Selection of Florida law and venue does not authorize conduct prohibited in your location or require us to make an Offering available where doing so would be unlawful.

California Consumer Notice

California consumers may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs concerning unresolved complaints.

Changes to These Terms

We may update these Terms to reflect new Offerings, changes to the Platform, legal or regulatory developments, billing practices, security requirements, operational needs, or clarified policies.

The "Last Updated" date will identify the most recent revision.

Material changes may be communicated through email, an Account notice, a Platform notice, checkout disclosure, or another reasonable method.
Revised Terms apply prospectively from their stated effective date. Continued use after the effective date constitutes acceptance where legally permitted, but renewed affirmative acceptance may be requested where appropriate.

Entire Agreement and Order of Precedence

These Terms, together with our Privacy Policy, Disclaimer, Community Guidelines, checkout disclosures, order forms, offering specific policies, coaching agreements, retreat or event agreements, and other incorporated written agreements, constitute the complete agreement concerning the applicable subject matter.

Where documents directly conflict, they will generally control in the following order:
A separately signed negotiated agreement;
An offering specific agreement, waiver, or release;
Applicable checkout or order-form terms;
These Terms and Conditions;
The Disclaimer;
The Community Guidelines;
The Privacy Policy with respect to privacy and data matters; and
General informational or promotional pages.

Despite this order, the Privacy Policy will control regarding the collection, use, retention, disclosure, and protection of personal information.
A specific provision addressing a particular Offering or subject controls over a more general provision addressing the same matter.

Headings, Severability, and Interpretation

Section and paragraph headings are included solely for convenience and do not affect the meaning, construction, or interpretation of these Terms.
If a provision is found invalid, unlawful, or unenforceable, it will be limited or modified to the minimum extent necessary to make it enforceable where legally permitted.

If modification is unavailable, the affected provision will be severed, and the remaining provisions will continue in effect.

These Terms will not be interpreted against a party merely because that party or its representative prepared them.

No Waiver and Assignment

Failure to exercise or enforce a right does not waive that right or the right to enforce it later.

A waiver is effective only when made in writing by an authorized representative.

You may not assign, delegate, transfer, sublicense, or sell your Account, access rights, or obligations without our written consent.

We may assign these Terms in connection with a reorganization, financing, merger, acquisition, affiliate transfer, asset sale, or succession of the Platform.

Electronic Communications and Notices

You consent to receive transactional communications electronically, including communications about purchases, billing, renewals, cancellations, Account security, Platform access, policy changes, and legal notices.

Electronic acceptance, checkbox assent, digital signatures, and comparable electronic actions may have the same effect as handwritten signatures.

Survival

Global Savings Clause

BY CREATING AN ACCOUNT; COMPLETING A PURCHASE; JOINING A MEMBERSHIP; AFFIRMATIVELY ACCEPTING THESE TERMS; ACCESSING GATED CONTENT; OR PARTICIPATING IN AN OFFERING, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO THESE TERMS AND THE INCORPORATED DISCLAIMER.

Psychology, Neuroscience, Somatic, and Nervous-System Terminology

Stoic Angels may use terms drawn from psychology, neuroscience, behavioral science, coaching, somatic education, and general-wellbeing literature. These may include terms such as nervous-system regulation, dysregulation, rewiring, neuroplasticity, stress response, trauma-informed, attachment, embodiment, somatic practice, subconscious beliefs, emotional regulation, and related language.

Unless expressly stated otherwise, we use these terms in a general educational, coaching, metaphorical, or personal-development context. Their use does not mean that Stoic Angels is conducting a clinical assessment, making a diagnosis, identifying a disorder or physiological dysfunction, providing psychotherapy, treating trauma, regulating a medical condition, or delivering another licensed healthcare service.

References to “regulation,” “rewiring,” “healing,” “resetting,” “releasing,” “processing,” “balancing,” or similar concepts describe educational frameworks, reflective experiences, habits, skills, or subjective personal-growth processes. Research citations, academic references, expert interviews, or descriptions such as “research-informed,” “science-informed,” “psychology-informed,” or “neuroscience-informed” identify sources that may inform the Content. They do not convert general Content into medical advice, establish clinical validity for every exercise or Stoic Angels framework, or mean that a cited study proves that a particular Offering will produce a specific result for you.

No Content is intended to diagnose, treat, cure, prevent, mitigate, rehabilitate, or manage any disease, injury, disorder, trauma-related condition, mental-health condition, or other medical condition. You should seek advice from an appropriately licensed professional for individualized medical, psychological, psychiatric, therapeutic, or clinical questions.

TRAVELER BOOKING TERMS

Scope and Applicable Documents

These Traveler Booking Terms apply to retreats, group trips, and travel experiences connected with Stoic Angels. They form part of these Terms and supplement any applicable trip-specific itinerary, checkout disclosure, booking agreement, participation terms, release, waiver, health acknowledgment, media consent, code of conduct, or other travel document.

Where a trip-specific document directly conflicts with these general Terms, the more specific trip provision controls solely with respect to that Trip and the subject matter it governs.

Trips Organized by Stoic Angels

Where Stoic Angels LLC acts as the organizer, contracting party, or seller of a Trip, Stoic Angels is responsible only for the obligations it expressly undertakes in the applicable booking materials and trip-specific documents.

A booking is not confirmed merely because payment has been submitted. A Trip is confirmed only when Stoic Angels sends written confirmation that any stated minimum participation threshold or other required conditions have been met.

Travelers must pay all deposits, installments, and balances by the deadlines shown at checkout or provided in writing. Failure to pay on time may result in cancellation of the booking without refund unless otherwise agreed in writing.

Prices are generally stated in United States Dollars unless otherwise disclosed. Prices may vary based on timing, room type, availability, demand, promotions, or other legitimate factors, and different Travelers may therefore pay different prices for the same Trip.

Trips Organized by a Third Party

Where a separate travel company, tour operator, retreat company, or other provider is clearly identified as the primary organizer or contracting party, that provider is responsible for the travel services it controls, including:

the itinerary;
traveler reservations and confirmations;
acceptance and processing of payments;
cancellations, refunds, credits, and charge disputes;
accommodations, transportation, suppliers, and substitutions;
participant requirements and travel waivers; and
operational travel coordination and decisions.

In that arrangement, the third-party provider is the travel provider and contracting party for those services. Its booking terms, payment terms, cancellation and refund rules, participant requirements, waivers, governing law, venue, and dispute-resolution procedures govern the services it provides.

Unless a separate written agreement expressly states otherwise, Stoic Angels acts only as a promotional partner, community host, or content host for a third-party-organized Trip.

For services controlled by the third-party organizer, Stoic Angels does not:
receive, hold, process, or refund traveler payments;
confirm or guarantee reservations;
control the itinerary, accommodations, transportation, suppliers, cancellations, refunds, credits, substitutions, or operational decisions; or
assume responsibility for the organizer's acts, omissions, insolvency, service failures, schedule changes, or failure to perform.

Questions, requests, claims, cancellations, charge disputes, refund requests, service complaints, mediation demands, arbitration demands, litigation, or other legal proceedings concerning those services must be directed to and brought against the third-party organizer under its own terms.

Stoic Angels is not a proper party to a dispute concerning services it did not sell, contract to provide, control, receive payment for, or perform. This does not limit responsibility for Stoic Angels' own promotional statements, Content, hosted activities, community standards, communications, or other obligations it expressly undertakes.

Which Terms Control

The third-party organizer's terms govern the travel services it controls. These Terms govern Stoic Angels' separate role.
If the documents directly conflict:
the third-party organizer's terms control solely with respect to the travel services it provides; and
these Terms control with respect to Stoic Angels' own Content, communications, hosted activities, services, and conduct requirements.

Each party remains responsible for the obligations it expressly undertakes, subject to applicable law.

What Is Included

Only the accommodations, transportation, activities, meals, services, and other items specifically identified in the applicable sales page, itinerary, checkout page, booking materials, or written confirmation are included in the Trip price.

Unless expressly stated otherwise, the Trip price does not include airfare, passport or visa fees, travel insurance, vaccinations, baggage fees, optional activities, personal expenses, gratuities, meals not listed as included, transportation outside the itinerary, or costs caused by delays, cancellations, missed connections, or changes to personal travel arrangements.

Payments, Cancellations, and Refunds

Because Trips require advance planning, staffing, accommodations, supplier commitments, and other nonrecoverable expenses, Trip payments, including deposits, installments, and balances, are generally nonrefundable unless a trip-specific policy states otherwise.

No refund is ordinarily owed for cancellation, nonattendance, late arrival, early departure, voluntary withdrawal, removal for misconduct or safety concerns, missed transportation, failure to provide required information, denied entry, inadequate documentation, or inability to participate for personal, medical, scheduling, or travel-related reasons.

If Stoic Angels cancels a Trip it organized, any refund, credit, transfer, rescheduling option, or other remedy will be governed by the applicable trip-specific terms and may be reduced by nonrecoverable expenses already committed or paid on the Traveler's behalf.

Stoic Angels is not responsible for airfare, visas, insurance costs, vaccinations, exchange-rate changes, deductibles, or other expenses paid to third parties.

Travel Insurance

Travelers are strongly encouraged to purchase comprehensive travel insurance promptly after booking. Coverage should be appropriate for the Traveler's circumstances and may include trip cancellation, interruption, delay, medical treatment, emergency evacuation, baggage loss, and other foreseeable travel risks.

Insurance coverage, exclusions, claims, and reimbursement decisions are solely between the Traveler and the insurer. Stoic Angels does not provide insurance advice or guarantee that any claim will be approved.

Traveler Documents, Entry, and Personal Eligibility

Travelers are solely responsible for obtaining and maintaining all passports, visas, permits, vaccinations, health documents, entry authorizations, insurance, and other documentation required for the Trip, any transit location, and return travel.

Travelers are also responsible for confirming that they are legally eligible to enter the destination, board transportation, and participate in the Trip. Stoic Angels does not guarantee that any Traveler will be admitted to a destination, permitted to board transportation, or approved by an immigration, customs, health, or security authority.

Any loss, delay, denial of boarding, denial of entry, missed service, or additional cost caused by incomplete, expired, inaccurate, or insufficient documentation is the
Traveler's responsibility.

Travelers must review applicable destination requirements, local laws, customs, health guidance, travel advisories, and vaccination or testing requirements.

Travelers must provide accurate requested information by the stated deadline, which may include legal name, date of birth, nationality, passport details, emergency contact information, dietary needs, mobility needs, and health information relevant to safe participation. Failure to provide required information after reasonable reminders may be treated as a material breach and may result in cancellation without refund.

Health, Accessibility, and Participation

Travelers are responsible for determining whether they are physically, medically, mentally, and emotionally able to participate safely in the Trip and its activities.
Travelers should consult an appropriate healthcare professional before booking where a medical condition, disability, injury, mobility limitation, pregnancy, recent procedure, or other concern may affect participation.

Any relevant health condition, allergy, medication requirement, mobility limitation, dietary restriction, accessibility need, or accommodation request must be disclosed by the stated deadline and updated if circumstances change.

Stoic Angels and any primary organizer will make reasonable efforts to consider disclosed needs but cannot guarantee that every destination, property, activity, vehicle, supplier, or emergency service will be accessible or able to accommodate every request.

Travelers remain responsible for carrying required medications, medical devices, prescriptions, medical clearances, and health information.

Participation in an activity may be denied or limited where Stoic Angels or the primary organizer reasonably believes participation could create a health or safety risk to the Traveler or the group. A good-faith safety decision does not ordinarily create a right to a refund.

Itinerary and Supplier Changes

The itinerary is a general plan and may change before or during the Trip because of weather, supplier availability, transportation changes, local conditions, safety concerns, government action, strikes, political events, illness, force majeure, or other circumstances.

Trip itineraries, accommodations, transportation, activities, guides, meals, venues, and suppliers may be changed, substituted, delayed, shortened, or canceled where reasonably necessary.

Where practical, a reasonably comparable substitute may be offered. A change to an individual supplier, activity, schedule, route, or accommodation does not automatically create a right to a refund, credit, or compensation unless the applicable trip-specific terms or law require otherwise.

Hotels, transportation companies, guides, excursion operators, restaurants, venues, airlines, and other local providers are independent third parties. To the extent permitted by law, Stoic Angels is not responsible for injury, illness, loss, damage, delay, disruption, or inconvenience caused by an independent supplier or by events outside its reasonable control.

Missed, Declined, or Unused Services

A Traveler who arrives late, departs early, misses transportation, declines an activity, is denied entry, is removed for misconduct, or otherwise fails to use an included service is not automatically entitled to a refund, credit, replacement, or alternative arrangement.

Any additional transportation, lodging, meals, rebooking, documentation, or other costs caused by the Traveler's delay, personal decision, failure to follow instructions, or ineligibility are the Traveler's responsibility.

Rooming and Shared Accommodations

Room assignments, roommate matching, occupancy arrangements, and single-room supplements may be governed by trip-specific terms.

Stoic Angels and any primary organizer may make reasonable rooming changes where necessary. Compatibility with a roommate is not guaranteed. Travelers remain responsible for respectful conduct and compliance with property rules.

Conduct, Safety, and Removal

Travelers must comply with the Community Guidelines, applicable law, venue rules, safety instructions, supplier rules, and reasonable directions from the organizer, Trip Leader, guide, driver, accommodation provider, or other authorized representative.

Travelers must not engage in harassment, discrimination, threats, violence, illegal drug use, reckless conduct, excessive intoxication, serious disruption, privacy violations, unauthorized entry into another Traveler's personal space, property damage, or conduct that places another person or the group at risk.

Weapons are not permitted on Trips unless required by law and expressly approved in writing.

A Traveler may be refused participation in an activity, removed from part or all of a Trip, have a booking canceled, or be denied future service where the Traveler's conduct, communications, actions, or inaction create a safety, legal, operational, or group-welfare concern.

Unless required by law or expressly stated otherwise, removal for misconduct or safety concerns does not create a right to a refund. The Traveler remains responsible for resulting transportation, lodging, property damage, medical, legal, or other costs.

Alcohol, Controlled Substances, and Local Law

Travelers are responsible for complying with all local laws and venue rules concerning alcohol, controlled substances, medication, public behavior, and personal conduct.
Stoic Angels is not responsible for a Traveler's arrest, detention, fine, removal, denial of entry, or other consequence resulting from unlawful or prohibited conduct.

Assumption of Travel Risks

Travel and group activities involve ordinary and unexpected risks, including illness, injury, crime, transportation incidents, weather, natural disasters, political instability, civil unrest, infectious disease, food or water illness, lost property, delays, cancellations, and, in rare cases, serious injury or death.

By booking or participating, the Traveler knowingly and voluntarily accepts the ordinary risks associated with travel, transportation, excursions, group events, and activities the Traveler chooses to undertake.

To the extent permitted by law, the Traveler releases Stoic Angels LLC and its owners, employees, contractors, representatives, and Trip Leaders from claims arising from risks voluntarily assumed, except to the extent caused by gross negligence, willful misconduct, fraud, or conduct that cannot legally be released.

Emergency Assistance and Medical Care

In an emergency, Stoic Angels or the primary organizer may contact emergency services, the Traveler's emergency contact, insurer, medical provider, or relevant authority where reasonably necessary.

Any medical evaluation, treatment, evacuation, transportation, accommodation, communication, or related expense remains the Traveler's responsibility unless covered by insurance or expressly assumed in writing by another party.

Stoic Angels does not provide medical care and cannot guarantee the availability, quality, or timing of emergency services at the destination.

Independent Activities and Personal Time

Any optional activity, excursion, meal, transportation arrangement, outing, accommodation, purchase, or other experience not expressly included in the official itinerary is undertaken at the Traveler's own discretion and risk.

Stoic Angels is not responsible for coordinating, supervising, or accepting liability for independently arranged activities, even where another Traveler recommends or joins them.

Personal Property and Baggage

Travelers remain responsible for passports, money, electronics, medications, luggage, valuables, and other personal property.

Stoic Angels does not guarantee recovery or reimbursement for property that is lost, stolen, delayed, damaged, confiscated, or left behind. Claims involving a carrier, hotel, insurer, or other supplier must be pursued directly with that party.

Force Majeure

A "Force Majeure Event" means an extraordinary circumstance beyond the reasonable control of Stoic Angels and, where applicable, the primary trip organizer that occurs within, or is specifically directed toward, the Trip's destination country.

A Force Majeure Event may include a natural disaster, severe weather event, war, terrorism, material civil unrest, epidemic, pandemic, quarantine, border closure, government action, official travel restriction, transportation shutdown, widespread strike, or comparable event.

An event qualifies under this section only where Stoic Angels or the primary trip organizer reasonably determines, in good faith and based on the information then available, that the event:
directly and substantially prevents or compromises the safe or lawful operation of the Trip;
makes a material part of the Trip impossible or commercially impracticable to provide; or
creates a material risk to participant safety at the destination.

A general concern, isolated disruption, change in personal comfort, or event that does not directly and substantially affect the Trip will not, by itself, constitute a Force
Majeure Event under these Terms.

If a Force Majeure Event occurs, Stoic Angels or the primary trip organizer, as applicable, may cancel, postpone, relocate, shorten, suspend, or materially modify the affected Trip or itinerary where reasonably necessary.

Any refund, credit, transfer, rescheduling option, or other remedy will be governed by the applicable trip-specific terms and will take into account amounts recoverable from hotels, transportation providers, activity operators, and other suppliers, together with costs and commitments already incurred.

Photography and Recordings

Trips may be photographed or recorded.

Where a Traveler voluntarily submits photographs, videos, testimonials, written statements, interviews, personal stories, or other Content to Stoic Angels, or knowingly agrees to participate in a staged photograph, interview, testimonial, promotional recording, or similar Content session, the Traveler understands that the material may be used, reproduced, edited, published, displayed, and distributed for the promotional, editorial, educational, and commercial purposes described in the authorization provided at the time.

This may include use on websites, social media, newsletters, advertisements, presentations, sales materials, press materials, and other campaigns, subject to the scope of the Traveler's authorization and applicable law.

A Traveler who does not wish to participate in identifiable promotional Content should notify Stoic Angels in writing before the Trip and should decline or avoid staged promotional shoots, interviews, testimonials, and similar recording sessions.

Incidental appearance in group, background, crowd, event, or documentary-style footage may occur where permitted by law and the applicable notice or authorization.

A Traveler may withdraw future promotional permission by contacting Stoic Angels in writing. Withdrawal applies only to future use after the request is reasonably processed and does not require Stoic Angels to recall, remove, destroy, or discontinue materials that were lawfully published, distributed, printed, scheduled, licensed, or incorporated into an existing campaign before the withdrawal was received.

Traveler Responsibility for Losses

Travelers are responsible for loss, damage, claims, penalties, or costs caused by their unlawful conduct, negligence, willful misconduct, breach of these Terms, violation of the Community Guidelines, or infringement of another person's rights.

To the extent permitted by law, the Traveler agrees to indemnify and hold harmless Stoic Angels LLC and its representatives from third-party claims arising from such conduct.

Trip-Specific Documents

A particular Trip may require a separate booking agreement, waiver, health acknowledgment, rooming form, traveler information form, media consent, or code of conduct.

These Traveler Booking Terms do not replace those documents. Travelers must complete and comply with all required trip-specific forms by the applicable deadlines.

Contacting the Correct Party

Travelers should direct questions and claims to the party responsible for the relevant service. Stoic Angels may assist in routing a concern but does not assume responsibility for a third-party organizer's obligations by doing so.

ADDITIONAL PLATFORM AND PARTICIPATION PROTECTIONS

User Backups and Data Loss

You are responsible for maintaining your own copies of any information, submissions, files, notes, messages, downloads, or other materials that are important to you. We do not guarantee that User Content, Community posts, progress records, messages, saved preferences, or other information will remain available indefinitely.

To the extent permitted by law, we are not responsible for loss, corruption, deletion, alteration, failed transmission, or inability to recover data resulting from account closure, moderation, technical failure, provider action, cybersecurity incidents, user error, or circumstances outside our reasonable control.

Harmful Files, Malicious Activity, and Automated Misuse

You may not upload, transmit, introduce, or distribute malware, viruses, corrupted files, harmful code, deceptive links, credential-harvesting materials, or other content designed to interfere with, damage, monitor, exploit, or obtain unauthorized access to the Platform, another User, or any connected system.

You may not use bots, scrapers, crawlers, automated agents, bulk extraction tools, credential-stuffing methods, denial-of-service techniques, or similar systems to access, copy, monitor, test, overload, disrupt, reverse engineer, or extract data or Content from the Platform except where expressly authorized by us in writing or required by applicable law.

Community Information and User-to-User Interactions

Statements, recommendations, experiences, opinions, links, resources, and other information shared by Members, moderators, guests, contributors, or other Users are their own and are not necessarily reviewed, verified, endorsed, or adopted by Stoic Angels.

You are responsible for independently evaluating information received from another User and for deciding whether to act on it. Participation in a Community does not create a professional, fiduciary, supervisory, therapeutic, medical, financial, legal, employment, partnership, or agency relationship between Users or between a User and Stoic Angels.

We do not guarantee the identity, qualifications, accuracy, intentions, conduct, compatibility, reliability, or safety of another User. You should use reasonable caution before sharing personal information, meeting another User, entering a transaction, or relying on advice received through the Platform.

Emergency and Crisis Limitations

The Platform, Community, coaching, live sessions, messaging systems, and other Offerings are not emergency, crisis-response, medical-response, or continuous-monitoring services. We do not guarantee that messages, disclosures, safety concerns, or requests for assistance will be reviewed or answered immediately.

If you believe that you or another person is in immediate danger or requires urgent medical, mental-health, legal, or emergency assistance, contact the appropriate local emergency service or qualified professional directly. Do not rely on the Platform, a moderator, a coach, a host, or another User for emergency intervention.

Moderation, Investigations, and Protective Action

We may review reports, preserve relevant records, restrict features, remove Content, suspend access, terminate Accounts, block transactions, contact affected parties, or take other reasonable protective action where we believe there may be fraud, abuse, harassment, unlawful conduct, safety concerns, intellectual-property infringement, unauthorized access, payment misconduct, or a material violation of these Terms.

We may cooperate with payment providers, hosting providers, insurers, professional advisers, law-enforcement agencies, regulators, courts, emergency services, or other authorities where reasonably necessary to investigate misconduct, protect rights or safety, respond to lawful process, enforce these Terms, or comply with applicable law and our Privacy Policy.

No Duty to Monitor or Prevent Harm

Our ability to moderate, investigate, remove Content, restrict access, or respond to reports does not create a general duty to continuously monitor the Platform, prevent every violation, identify every risk, verify every User, or intervene in every interaction.

Any moderation, investigation, warning, exception, accommodation, or enforcement decision in one matter does not require the same action in another matter and does not waive our right to take different or additional action later.

Unauthorized Reliance and Third-Party Use

The Offerings and Content are provided for the authorized User's personal use. We are not responsible for decisions, claims, losses, or consequences arising from unauthorized sharing, copied materials, altered materials, out-of-context excerpts, third-party reposting, reliance by a person who did not purchase or receive authorized access, or use of Content for a purpose for which it was not provided.

Survival

Provisions concerning payment obligations, intellectual property, confidentiality, User Content licenses, prohibited conduct, disclaimers, assumption of risk, indemnification, limitations of liability, dispute resolution, governing law, and any other provision that by its nature should continue will survive cancellation, expiration, suspension, or termination of an Account, Membership, Offering, or these Terms.
